1. Scope and contracting party

1.1. These General Terms and Conditions apply to all contracts concluded via the online shop getnutrons.com ("Nutrons") between

Awesome Nuts GmbH
Adelsberg 1A, 4813 Altmünster, Austria
Managing directors: Philip Engelbert Gruber, Hans-Jörg Herzog

(hereinafter "we" or "Seller") and the customer (hereinafter "Customer"), in the version valid at the time of the order.

1.2. A consumer is any natural person who enters into the transaction other than in the course of operating their business (Section 1 of the Austrian Consumer Protection Act, KSchG). A business is anyone who is not a consumer. The provisions in section 17 apply exclusively to businesses.

1.3. Deviating, conflicting or supplementary terms of the Customer shall not become part of the contract unless we expressly agree to their validity.

1.4. For questions, complaints and objections, you can reach us at energy@getnutrons.com.

2. Contract language and storage of the contract text

2.1. The contract language is German.

2.2. We store the contract text and send you the order details and these General Terms and Conditions by email together with the order confirmation. You can view your previous orders via a customer account. The current version of these terms can be accessed and saved at any time at getnutrons.com.

3. Offer and conclusion of contract

3.1. The presentation of products in the online shop does not constitute a binding offer, but a non-binding invitation to place an order.

3.2. The Customer selects products, collects them using the "Add to cart" button and can change the selection at any time. Before the order is submitted, all entries are displayed in an overview and can be corrected using the browser's or the ordering process's correction functions. Mandatory fields are marked.

3.3. By clicking the "Order with obligation to pay" button, the Customer submits a binding offer to purchase the goods in the shopping cart.

3.4. We confirm the order by email without delay. With this order confirmation we accept the Customer's offer, and the purchase contract is concluded. The order confirmation contains the order details and these General Terms and Conditions.

3.5. If the Customer has chosen payment in advance and, despite being due and after a reminder, the payment is not received by us within ten calendar days of the order confirmation, we will withdraw from the contract. The order is thereby settled without consequences for either party; the goods are reserved for a maximum of these ten calendar days.

4. Prices, unit price and shipping costs

4.1. All prices are final prices in euros and include the applicable statutory VAT.

4.2. For food products, we also state the unit price per kilogram.

4.3. Shipping costs are charged in addition to the price of the goods. Their amount is shown on the "Shipping" page and, at the latest, in the order overview before the order is submitted.

5. Payment

5.1. The payment methods offered during the ordering process are displayed before the order is submitted. We reserve the right not to offer individual payment methods in individual cases.

5.2. The purchase price is due immediately upon conclusion of the contract without deduction, unless otherwise stated for the selected payment method.

5.3. If payment is processed by a third-party provider, that provider's terms apply in addition.

5.4. If the Customer defaults on payment, the statutory provisions apply. Reminder and collection costs are charged to consumers only to the extent permitted by law and only in the event of fault.

6. Delivery, delivery time and transfer of risk

6.1. We deliver within Austria.

6.2. Unless otherwise stated, delivery takes place within two to four working days after conclusion of the contract, or, in the case of payment in advance, after receipt of payment. Specific information on the product page takes precedence over this period.

6.3. If ordered goods are not available, we will inform the Customer without delay and refund any payments already made in full.

6.4. For consumer transactions, the risk of accidental loss and accidental deterioration passes only when the goods are handed over to the consumer or to a third party designated by the consumer who is not the carrier. If the consumer has concluded the contract of carriage themselves without using an option suggested by us, the risk passes upon handover to the carrier.

6.5. Shipping may be carried out by service providers commissioned by us. The necessary transfer of address data for this purpose is described in our privacy policy.

7. Retention of title

7.1. The goods delivered remain our property until paid for in full.

7.2. The Customer is obliged to inform us without delay of any third-party access to goods subject to retention of title.

8. Right of withdrawal for consumers

Consumers have a statutory right of withdrawal under the Austrian Distance and Off-Premises Contracts Act (FAGG).

Withdrawal information

Right of withdrawal. You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day on which you, or a third party designated by you who is not the carrier, took possession of the goods. If you order several goods that are delivered separately, the period runs from the day on which you took possession of the last item.

Exercising the right. To exercise your right of withdrawal, you must inform us (Awesome Nuts GmbH, Adelsberg 1A, 4813 Altmünster, Austria, energy@getnutrons.com) of your decision by means of a clear statement, for example by letter or email. You may use the attached model withdrawal form, but this is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send your notice before the withdrawal period has expired.

Effects of withdrawal. If you withdraw, we will reimburse all payments received from you, including delivery costs (with the exception of additional costs resulting from your choice of a type of delivery other than the cheapest standard delivery offered by us), without undue delay and at the latest within fourteen days from the day on which we received your notice of withdrawal. We will use the same means of payment as you used for the original transaction, unless expressly agreed otherwise; you will not be charged any fees for this reimbursement. We may withhold reimbursement until we have received the goods back or until you have provided proof that you have sent them back, whichever is earlier.

Returning the goods. You must send back or hand over the goods to us without undue delay and in any event within fourteen days of your notice of withdrawal. The deadline is met if you send the goods before the fourteen days have expired. You bear the direct costs of returning the goods. You are only liable for any loss in value of the goods if this results from handling them in a way that is not necessary to establish their nature, characteristics and functioning.

Exceptions to the right of withdrawal

Under Section 18 FAGG, there is no right of withdrawal for, among others, contracts for

  • goods made to the customer's specifications or clearly tailored to personal needs, such as individually assembled or personalized gift packages,
  • goods that are liable to deteriorate quickly or whose expiry date would quickly be exceeded,
  • sealed goods that are not suitable for return for reasons of health protection or hygiene, if the seal has been removed after delivery,
  • goods that, due to their nature, have been inseparably mixed with other items after delivery.

For our products this means: you can return unopened, originally sealed packs within the withdrawal period. For opened food packs, the right of withdrawal does not apply because the goods are not suitable for return for hygiene reasons.

9. Model withdrawal form

If you wish to withdraw from the contract, please fill in this form and send it back.

10. Warranty

10.1. The statutory warranty provisions apply; for consumers, in particular the Austrian Consumer Warranty Act (VGG) and the Austrian Civil Code (ABGB).

10.2. The warranty period is two years from handover of the goods. If a defect becomes apparent within one year of handover, it is presumed to have existed at the time of handover.

10.3. Consumers may primarily demand repair or replacement; under the statutory conditions, a price reduction or termination of the contract may be considered. We bear the costs of remedying the defect.

10.4. Please report obvious transport damage without delay. Failure to do so has no effect on consumers' warranty rights, but it helps us assert claims against the transport company.

10.5. For food products, warranty claims relate to the condition at the time of handover. There is no liability for loss of quality after the stated best-before date or in the event of improper storage.

11. Guarantee

A guarantee only exists if it has been expressly given. We provide information about guarantee conditions on the respective product page before the order is placed. Statutory warranty rights are not restricted by a guarantee.

12. Liability

12.1. We are liable without limitation for damage caused by us intentionally or through gross negligence, as well as for personal injury.

12.2. For slight negligence, we are liable to consumers only in the event of a breach of essential contractual obligations, and limited in amount to the foreseeable damage typical for the contract. Liability for slight negligence towards businesses is excluded.

12.3. Liability under the Austrian Product Liability Act, liability where a guarantee has been given and liability for fraudulently concealed defects remain unaffected.

12.4. Insofar as our liability is excluded or limited, this also applies to the personal liability of our employees, representatives and vicarious agents.

12.5. We accept no liability for the content of linked third-party websites.

13. Vouchers and discount codes

13.1. Promotional vouchers and discount codes can only be redeemed within the stated period, only once per order and not in combination with other promotions, unless otherwise stated.

13.2. The value of promotional vouchers is not paid out in cash and does not bear interest. If a withdrawal causes the order to fall below the minimum order value, the voucher benefit is forfeited proportionally.

13.3. Gift vouchers purchased for consideration can be redeemed for three years from issue; beyond that, the statutory limitation periods apply.

14. Product reviews

14.1. Reviews can only be submitted by customers who have purchased the respective product from us. We indicate which reviews come from verified purchases and describe the verification procedure with the reviews.

14.2. We publish positive and negative reviews unchanged. We may remove posts with unlawful, offensive or obviously untrue content, as well as posts unrelated to the product.

14.3. By submitting a review, the Customer grants us the non-exclusive, unlimited right to use the review in the shop and in our communication.

15. Consumer dispute resolution

15.1. If you have a complaint, please contact us directly first. We endeavor to resolve every concern quickly.

15.2. For out-of-court dispute resolution, consumers can contact the Internet Ombudsman (Internet Ombudsstelle): Österreichisches Institut für angewandte Telekommunikation, Ungargasse 64/3/404, 1030 Vienna, Austria, ombudsstelle.at. We are neither obliged nor have we committed to participate in a dispute resolution procedure.

16. Data protection

How we process personal data is described in our privacy policy at getnutrons.com/policies/privacy-policy.

17. Supplementary provisions for businesses

17.1. For businesses, the warranty period is one year from handover. Defects must be notified in writing within one week of discovery.

17.2. Businesses may only set off counterclaims that are undisputed or have been finally established by a court.

17.3. The place of performance is the Seller's registered office.

17.4. The right of withdrawal under section 8 does not apply to businesses.

18. Final provisions

18.1. Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law. For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the country of their habitual residence.

18.2. For disputes with businesses, the court having subject-matter jurisdiction at the Seller's registered office has exclusive jurisdiction. For consumers, the statutory places of jurisdiction apply, in particular Section 14 KSchG.

18.3. Should any provision of these terms be invalid, the validity of the remaining provisions shall remain unaffected. With respect to consumers, the invalid provision shall be replaced by the statutory provision.

18.4. We reserve the right to amend these terms. For contracts already concluded, the version published at the time of the order applies.
